Welcome, and thank you for your interest in LLMoxy LLC ("LLMoxy", "we", or "our", a limited liability company organized under the laws of the State of Wyoming, U.S.A.) and our website https://llmoxy.com/ (the "Site"), together with our related websites, networks, applications, and other services (collectively, our "Services"). These Terms of Service are a legally binding contract between you and LLMoxy regarding your use of the Services.
Please read the following terms carefully. By clicking "I Accept" or using the Services, you acknowledge that you have read, understood, and agree to be bound by the following terms and conditions (including the LLMoxy Privacy Policy, collectively the "Terms"). If you do not meet the eligibility requirements, or if you do not agree to these Terms, you do not have permission to use our Services.
These Terms provide that any dispute between you and LLMoxy arising out of the Services will be governed by the laws of the State of Wyoming, U.S.A., and resolved through arbitration administered by the American Arbitration Association ("AAA") located in Wyoming. You agree to waive your right to assert or defend your rights under this contract in court, except for matters that may be brought in small claims court. Your rights will be determined by a neutral arbitrator, and your claims cannot be brought as a class action. Please review Section 13 ("Governing Law and Dispute Resolution") for details.
1. Overview of LLMoxy Services
LLMoxy operates a large language model aggregator that allows users to access third-party application programming interfaces ("APIs") through this website to use various generative artificial intelligence models ("AI Models") listed on the website. LLMoxy may add or remove AI Models from the Services at any time.
2. Eligibility
You must be at least 13 years old to use the Services. By agreeing to these Terms, you represent and warrant that: (a) you are at least 13 years of age; (b) you have not previously been suspended or removed from the Services; (c) your registration and use of the Services comply with all applicable laws and regulations, including but not limited to U.S. export control laws and sanctions lists. If you are under 18 years of age, you must use the Services with the permission of a parent or guardian.
3. Account and Registration
To access most features of the Services, you must register for an account. When you register, we may ask you to provide certain personal information, such as your email address or other contact details. You must keep this information accurate and up to date. You are fully responsible for all activities that occur under your account and for the security of your password. If you discover any unauthorized access to your account, please notify us immediately at contact[at]llmoxy.com.
4. Payments
The Services or certain features may require you to pay fees for prepaid credits ("Credits"), as well as payment processing and transaction fees. All fees are denominated in U.S. Dollars (USD) unless otherwise stated on the recharge page. LLMoxy will process your refund requests (eligible requests submitted within 24 hours), and expired credits (365 days after purchase) will be forfeited. You may opt in to automatic recharge (Auto Recharge) through your account.
5. User Content
You provide input content ("Input") to the Services and receive output content ("Output") based on your input. We do not control or edit your content. If you choose to enable the relevant option, we may use or record such content for product improvement purposes. The specific AI Models you use may use such content for training in accordance with their own terms, which you may review. By using the Services, you agree and warrant that your Input does not infringe any third-party rights or violate applicable laws.
6. Prohibited Conduct
By using the Services, you agree not to engage in the following conduct:
- Use the Services for any unlawful purpose or in violation of applicable AI Model terms;
- Engage in financial crimes such as money laundering when purchasing or using credits;
- Create false identities or multiple accounts to circumvent restrictions;
- Use the Services to resell API access or develop competing services;
- Scrape, reverse engineer, or use automated scripts;
- Conduct unauthorized red teaming, injection attacks, or jailbreaks;
- Violate the U.S. Export Administration Regulations (EAR) or sanctions lists maintained by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC).
7. Red Teaming
LLMoxy only permits red teaming conducted for legitimate research purposes, and requires users to submit a written request in advance. Unauthorized testing will be flagged by our monitoring systems and may result in account suspension.
8. Termination
You may terminate your account at any time by contacting customer support at contact[at]llmoxy.com. We also reserve the right to suspend or terminate your access if we discover violations or for other reasonable reasons.
9. Privacy Policy and Other Terms
Please read our Privacy Policy carefully to understand how we handle your personal information. Organizational users should refer to our Data Processing Agreement (DPA). The Services are also subject to additional supplementary terms.
10. Changes to Terms
If we make material changes to these Terms, we will notify you at least 30 days in advance via email or in-site notice. Continued use constitutes acceptance of the changes.
11. Intellectual Property
The Services and all of their contents, features, and assets (including software, graphics, text, images, video, audio, and the selection and arrangement thereof) are owned by LLMoxy or its third-party licensors and are protected by U.S. and international copyright, trademark, and other intellectual property laws. You may not use these materials without LLMoxy's prior written authorization.
12. Disclaimer and Limitation of Liability
To the maximum extent permitted by applicable law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. LLMoxy shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising out of your use of the Services. LLMoxy's aggregate liability for all claims shall be limited to the greater of the amount you actually paid to LLMoxy in the 12 months preceding the event giving rise to the claim, or USD 100.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, U.S.A., without regard to any conflict of law principles; the United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply. Any dispute arising out of or relating to these Terms between you and LLMoxy shall first be resolved through good-faith negotiation; if negotiation fails, it shall be submitted to the American Arbitration Association ("AAA") and arbitrated in Cheyenne, Wyoming in accordance with the AAA Commercial Arbitration Rules in effect at the time the arbitration request is submitted. The arbitration language shall be English, and there shall be one arbitrator. The arbitration award shall be final and binding on both parties.
You and LLMoxy agree that any dispute may only be brought in an individual capacity, and not as a plaintiff or class member in any purported class action or representative proceeding.
Small claims matters (within the jurisdiction of the Wyoming small claims court) and applications for injunctive relief to protect intellectual property or confidential information are not subject to this arbitration clause.
